End User License Agreement (EULA)

Effective Date: April 1, 2026

This End User License Agreement (“Agreement”) is a legally binding contract between you (“User”) and OpenNix LLC (“Licensor”) regarding the use of SecureBaseline Cloud software and related products (“Software”).

1. Grant of License

Licensor grants User a non-exclusive, non-transferable license to use the Software in accordance with this Agreement and the selected pricing plan.

2. Restrictions

User shall not:

• Copy, modify, decompile, or disassemble the Software
• Transfer, sublicense, or grant access to third parties without Licensor’s consent
• Remove or alter copyright notices
• Use the Software in violation of applicable law

3. Cloud Marketplaces

When acquired through cloud marketplaces (Yandex Cloud Marketplace, Azure Marketplace, AWS Marketplace, Google Cloud Marketplace), the terms of the respective platform additionally apply. Payment is processed through the platform’s billing mechanisms.

4. Intellectual Property

All intellectual property rights in the Software belong to the Licensor. This Agreement does not transfer any ownership rights to the User.

5. Data Privacy

Processing of personal data is governed by the Privacy Policy available at /legal/privacy .

6. Disclaimer of Warranties

The Software is provided “AS IS.” Licensor does not warrant uninterrupted operation, absence of errors, or fitness for a particular purpose.

7. Limitation of Liability

Licensor’s total liability under this Agreement is limited to the amount paid by User for the Software during the preceding 12 months. Licensor shall not be liable for indirect, incidental, or punitive damages.

8. Term and Termination

This Agreement is effective from the date User begins using the Software. Licensor may terminate this Agreement if User breaches its terms. Upon termination, User must cease all use of the Software.

9. Governing Law

This Agreement is governed by the laws of the Russian Federation. Disputes shall be resolved in the Arbitration Court of Moscow.
